These Terms and Conditions govern your access to and use of our website and the placement of wholesale orders for our headphone products. By accessing the website, submitting an inquiry, or placing an order, you agree to be bound by these Terms and Conditions.

1. Business-to-Business Transactions Only

This website is intended exclusively for business customers (wholesale buyers, distributors, and corporate clients). We do not sell to individual consumers or end-users. All orders are wholesale transactions only.

2. Minimum Order Quantity (MOQ)

Each product has its own specific Minimum Order Quantity (MOQ), which is clearly indicated on the respective product page on our website. Orders must meet or exceed the MOQ stated for the selected product(s). We reserve the right to reject any order that does not comply with the applicable MOQ.

3. Pricing

All prices displayed or quoted on the website are FOB Shenzhen, China. Prices include the cost of the products, standard packaging, and any agreed appearance customization fees. Prices do not include:

Freight, shipping, insurance, or any transportation costs beyond the FOB point in Shenzhen.
Customs duties, import taxes, VAT, or any other fees imposed by the destination country.
Any additional services not explicitly agreed in writing.

Freight and shipping costs will be calculated separately based on the actual order volume, destination, and chosen shipping method, and will be confirmed before order confirmation.

4. Order Process

Inquiries and quotations are non-binding.
Orders are only binding once we issue a written Proforma Invoice (PI) and you confirm acceptance in writing (e.g., signed PI or email confirmation) along with the required deposit payment.
We reserve the right to refuse or cancel any order at our sole discretion.

5. Payment Terms

Standard payment terms: 30% deposit upon order confirmation, 70% balance before shipment.
Alternative payment terms may be negotiated for established customers.
All payments shall be made via bank transfer or other methods agreed in writing.
Any bank charges are the responsibility of the buyer.

6. Delivery and Shipping

Delivery lead time will be specified in the Proforma Invoice and is calculated from the date of receipt of the deposit.
Risk of loss or damage passes to the buyer upon delivery of goods to the carrier at the FOB point in Shenzhen.
We are not responsible for delays caused by force majeure events, customs clearance, or carrier issues.

7. No Returns or Refunds

As these are wholesale custom-manufactured or bulk orders, no returns, refunds, or exchanges are accepted once the order has been confirmed and production has commenced. All sales are final.

8. Product Warranty

We provide a limited manufacturer’s warranty against defects in materials and workmanship for a period specified in the product specification sheet or Proforma Invoice (typically 12 months from the date of shipment). The warranty covers repair or replacement at our discretion and does not include shipping costs. This warranty applies only to the original buyer and is void if the product has been misused, modified, or damaged after delivery.

9. Intellectual Property

All product designs, trademarks, logos, and content on this website are the intellectual property of Foshan Shunde JUNYE Electronic Co. Ltd. Buyers may not reproduce, modify, or use our intellectual property without prior written permission.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our products or services. Our total liability shall not exceed the value of the specific order in question.

11. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes arising from or in connection with these terms or any order shall be submitted to the competent people’s court in Foshan City, Guangdong Province, China.

12. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. The updated version will be posted on this page with a revised “Last Updated” date. Continued use of the website or placement of orders after changes constitutes acceptance of the revised terms.
